But he clearly stated upfront that he will debate sanders IF proceeds goes to charity, so they will negotiate base on those terms.

Yea, but he clearly said he would consider doing it IF it was for Charity, before the negotiations started.

As this is gonna make CNN shitloads of money. And his not receiving a cent of it! If it doesn't go to some good cause, there is no point debating the second place finisher right?

A technology investment company says it will foot the $10 million bill for a potential debate between presidential candidates Donald Trump and Bernie Sanders.

“Yesterday, Mr. Trump asked for a $10 [million] donation to charity in order to accept Mr. Sanders’s challenge to debate him,” Richie Hecker, chairman and CEO of Traction and Scale, said in a statement to BuzzFeed. "We are willing to offer that $10 [million] donation in return for the opportunity to host the debate.

oh he was eager enough to debate bernie for a couple of days.... but suddenly it dawned on him that oops, he shouldnt debate anyone but the nominee ...

You missed the point. By requiring all profits go to charity, he insures it will never happen, and looks good doing so. So he gets to agree to a debate he has no intention of doing and makes the media look like the the bad guys.

I wondering why the 10mil put out by the tech company is not pick out by major news media. Also, it sounded as IF the tech firm themselves wants to host the debate and not the TV network.
How will they get broadcast?
Is this tech firm just gonna donate 10mil to charity for CNN to host the debate?

Both are probably of the mindset that they are too old for this shit (an election campaign), though either might just be better than either of the presumptive candidates from the two main parties.
