No, not all all. Incorporation is one type of entity, it's not always the best choice.

If you're implying that people go into business purely with the objective of cheating others, I'm not sure what kind of economy you're espousing.

One of the prime reasons for incorporating is that it creates the legal fiction "the corporation" which is treated legally as a person so debts and misdeeds do not transfer to the owners and investers. While that is not done purely to cheat creditors it is the most common outcome.

ah, i was looking for someone who would note what you said. thank you.

unfortunately, the Supreme Court bastardized the concept of corporations being a real entity for business speech into them being "a person" for political speech. It's truly a milestone butt fuck.

one more huge step towards fascism.

Corporations were well established long before that.


Which is why the Founding Fathers warned against the concept! Just like how they warned organized religions were bad to a free nation if they were to press for a theocracy. There already WERE corporations. It's not something that was GOING to potentially happen--we were there.

In fact, it was when George gave away a tea monopoly that the OTHER competing businesses protested--nothing whatever to do with the tax excuse (beyond the required tax stamp on the tea).

Romney may have re-iterated that statement but, it was the Supreme Court who said that (and indeed, codified it into law).

Actually with small closely held corporations the corporate veil is pierced regularly. (the myth of the LLC!) Insurance and contracts protect small business people, not corporations. There are many tax benefits, though, and if you have a payroll they're almost essential.

It depends on how an LLCs (or corporations) are set up and if the owners understand their obligations to keep the veil from being easily pierced.. If the owners get sloppy then its a lot easier to pierce the veil.. Some people have their assets in one LLC and run their business thru another LLC. They might have an LLC owned by another LLC in another state and use a registered agent.. really just depends..

There was one corp that was taken to court by the govt (in BC, Canada) and it turned out that the "President" was a totally clueless homeless guy paid next to nothing, he just did what he was told to do, he didnt even know he was the "prez".. so piercing the veil does what in that situation??
